Terms of Service

These Terms govern your access to and use of Microedits’ websites, applications, and related services ("Services"). By using the Services, you agree to these Terms.

1. Accounts and Eligibility

You must be legally capable of entering a contract. You are responsible for your account credentials and all activity under your account.

2. Paid Services and Billing

If you purchase a plan, you authorize us and our payment processor to charge applicable fees and taxes. Plans may auto-renew unless canceled per your account settings. Fees are non-refundable except as required by law or expressly stated.

3. Customer Content; License

You retain all rights to content you submit to or process through the Services ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, and display Customer Content solely to provide and support the Services. We do not claim ownership of your websites or their content.

4. Website Editing Functionality

The Services may render remote previews, extract HTML/CSS, generate proposed edits, apply/undo committed changes, and highlight affected elements. You are solely responsible for:

  • Having permission and sufficient rights to modify the relevant website(s),
  • Complying with applicable platform/host terms and laws,
  • Reviewing, testing, and approving edits before publishing to a live site.

We do not guarantee any specific outcome, compatibility, or ranking/SEO results.

5. Acceptable Use

You will not: (a) misuse the Services; (b) infringe or violate others’ rights; (c) reverse engineer or circumvent technical limits; (d) introduce malware; (e) use the Services for unlawful, deceptive, or high-risk purposes; or (f) use output to violate third-party terms.

6. Third-Party Services and AI/Automation

Certain features may rely on third parties (e.g., hosting, analytics, AI/automation vendors). Your use of third-party services is subject to their terms. We do not allow vendors to train generalized models on Customer Content.

7. Confidentiality

Each party may access the other’s non-public information; the receiving party will protect it using reasonable measures and use it only as permitted by these Terms.

8. Intellectual Property

We own the Services, including software, models, and documentation. No rights are granted except as expressly stated. You may not remove or alter proprietary notices.

9. Feedback

If you provide feedback, we may use it without restriction and without obligation to you.

10. Term; Suspension; Termination

We may suspend or terminate access for breach or risk to the Services. You may terminate at any time via your account. Upon termination, your right to use the Services ends; certain sections survive (e.g., 3, 5, 7–13).

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PREVIEWS, EDITS, AND COMPARISONS MAY NOT REFLECT ALL RUNTIME CONDITIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES. EXCEPT FOR AMOUNTS OWED FOR FEES OR INDEMNITY, EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID BY YOU TO MICROEDITS FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR USD $100, WHICHEVER IS GREATER.

13. Indemnification

You will indemnify and hold Microedits harmless from claims arising out of your Customer Content, your sites, or your breach of these Terms.

14. Governing Law

These Terms are governed by applicable law in your place of residence, unless mandatory law requires otherwise.

15. Modifications to Terms

We may update these Terms from time to time. Material changes will be notified through the Services or by email. Continued use after the effective date constitutes acceptance.

16. Miscellaneous

  • Entire agreement; no third-party beneficiaries.
  • Assignment: not permitted by you without consent; we may assign in connection with a reorganization or sale.
  • Severability and waiver apply.
  • Force majeure: neither party is liable for delays/failures due to causes beyond reasonable control.
